1. About BRBStox

BRBStox is operated by BRB Plus AI Private Limited, a company incorporated in India. In these Terms, “BRBStox,” “we,” “us” and “our” refer to BRB Plus AI Private Limited and the BRBStox Platform. “Platform” includes the website, applications, dashboards, tools and related services. “User Content” means content uploaded, submitted, created or shared by a user. “Virtual capital” means simulated funds provided solely for use inside BRBStox. “Paid Product” means Market Replay, Backtesting Lab or Trading Simulator, including any bundle or paid plan containing one or more of these products.

2. Documents Forming the Agreement

These Terms should be read together with the Privacy Policy, Community Standards, Pricing page, refund and cancellation provisions in these Terms, product-specific rules displayed inside the Platform, promotion-specific conditions and subscription details shown during checkout. Checkout terms control the commercial details of a specific purchase; product-specific rules control use of a particular feature; these Terms control all other matters.

3. Nature of the Platform

BRBStox is an educational, analytical, historical-testing, community-discussion and simulated-trading platform. BRBStox is not a stockbroker, depository participant, exchange, portfolio manager, investment adviser, research analyst service, distributor of securities, real-money trading platform or provider of guaranteed trading returns.

No real-money securities transaction is executed through BRBStox. Orders in the Backtesting Lab, Market Replay or Trading Simulator are simulated and are not transmitted to a broker, exchange, clearing corporation or depository. The only real-money transactions are payments for subscriptions, virtual-capital top-ups, Clear History charges or other clearly identified Platform services.

4. BRBStox Offerings

Backtesting Lab — test trading ideas across historical market data using supported chart patterns, prebuilt setups, no-code trading rules, options strategies, custom baskets and other strategy-testing tools. Results, reports and analytics are intended for historical evaluation and educational purposes.

Market Replay — select an available historical market session and practise simulated trading while the historical session unfolds. Users may control supported playback functions such as pause, resume and speed. Market Replay uses historical market data made available with a minimum delay of 30 days.

Trader Community — a moderated space where users may share charts, ask questions, discuss market observations, strategies, backtesting findings and trading experiences. The Community is not a tips group, advisory service or trade-call service.

Trading Simulator — practise simulated trading using virtual capital while a historical market session progresses according to the simulator. Market data is historical and is made available with a minimum delay of 30 days. Supported features may include stocks, futures, options, commodities, simulated orders, targets, stop-losses, baskets, screeners and trading reports.

Professional Charting — charting, indicators, drawing tools and related analytical features may be available across supported BRBStox products.

5. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. By creating an Account, you represent that the information you provide is accurate, you have legal capacity to accept these Terms, your use is permitted under applicable law, you are not impersonating another person and you have not previously been permanently banned. No demat account, brokerage account or securities-market KYC is required because BRBStox does not execute real-money trades.

6. Account Registration

You agree to provide accurate information, keep contact details updated, maintain password confidentiality, protect OTPs, avoid sharing your Account and notify us of suspected unauthorised use. You must not create Accounts for others without authority, use false information, maintain multiple Accounts for repeated free trials, buy or sell Accounts, share subscriptions or use automated systems to create Accounts.

7. Account Security

You are responsible for protecting your Account. BRBStox employees will not ask for your password, OTP, UPI PIN, card CVV, banking password, brokerage password or transaction PIN. Report suspicious messages promptly. BRBStox may temporarily restrict access when it reasonably suspects compromise, credential sharing, automated abuse, fraud, unauthorised access or a threat to users or Platform security.

8. Free Trial

New eligible Accounts may receive the available free trial separately for Market Replay, Backtesting Lab and Trading Simulator. The applicable trial duration and start conditions are displayed within the Platform. A product trial may begin when the user first accesses that product, as displayed by BRBStox.

No payment card is required to begin the available free trial, the trial does not automatically convert into a paid subscription, and no automatic payment mandate is created unless the user subsequently purchases a recurring subscription.

Trader Community access remains free independently of the paid-product trials.

9. Paid Subscriptions

Market Replay, Backtesting Lab and Trading Simulator are separate paid products. Users may subscribe to any available product individually or purchase a bundle where offered. Available billing periods may include monthly, quarterly and yearly options. The price, discount, GST, billing period and renewal terms are shown before payment. Prices displayed during checkout include GST unless clearly stated otherwise.

10. Automatic Renewal Through Razorpay

Paid subscriptions renew automatically through Razorpay when you authorise a recurring-payment mandate during checkout. You permit the applicable payment method to be charged at the beginning of each renewal period for the selected product and billing period until automatic renewal is cancelled or the subscription otherwise ends. BRBStox does not intend to store your complete card number, CVV, UPI PIN or banking password.

11. Cancelling Automatic Renewal

You may cancel future automatic renewal through your Account or another method communicated by BRBStox. After cancellation, no further renewal charge should be initiated, your current paid access continues until the end of the purchased Subscription Period and paid-product data enters the 180-day retention period after access expires. Deleting the application or stopping use does not, by itself, cancel automatic renewal.

12. Subscription Price Changes

BRBStox may revise subscription prices, discounts or plan structures. A revised price will not retroactively change a completed payment. For automatically renewing subscriptions, notice of a material price change will be provided before the revised price is charged where required by law or reasonably practicable. You may cancel future renewal before the revised price takes effect.

13. Failed Renewal Payments

A renewal may fail because of insufficient funds, expired credentials, a revoked mandate, bank restrictions, technical failure or rejected payment. Paid access may continue until the existing Subscription Period expires, then the subscription may lapse and paid-product data is retained for 180 days after expiry. BRBStox is not responsible for charges imposed by your bank or payment provider.

14. Refund Policy

Subscription payments are generally final and non-refundable once payment has been successfully processed and paid access has been activated. Cancelling automatic renewal prevents future charges but does not normally create a refund for the current Subscription Period.

A refund or payment reversal may be considered for duplicate charges, payment received but access not activated and could not reasonably be restored, an unauthorised transaction established through the applicable process, legal requirement or express written agreement by BRBStox. Nothing in this section removes a non-waivable right available under applicable consumer law.

15. Virtual-Capital Top-Ups

Virtual capital is not real money, is not a deposit or security, does not earn interest, cannot be withdrawn, transferred to a bank or broker, exchanged for cash and has no value outside the Trading Simulator. A virtual-capital top-up is generally non-refundable once successfully credited, except for duplicate charge, technical error or where a refund is legally required.

16. Clear History

The Trading Simulator may provide an optional paid Clear History feature. The applicable charge and the records affected will be displayed before confirmation.

Clearing history may permanently remove the applicable simulated-trading records and those records may not be recoverable after the action has been completed. Users should review their records before confirming Clear History.

A Clear History payment is generally non-refundable once the requested clearing operation has been successfully completed, except in the case of duplicate payment, technical failure where the service was not provided, or where a refund is required by applicable law.

17. Paid-Product Data Retention

When trial or paid access to Market Replay, Backtesting Lab or Trading Simulator expires, associated product data may be retained for up to 180 days from the relevant expiry date.

Depending on the product, this may include Market Replay sessions, saved backtests, strategy configurations, baskets, trade history, simulator positions, reports, charts, workspaces and related settings.

If access is renewed within the retention period, retained information may become accessible again. After the retention period, the applicable information may be deleted from active systems or irreversibly anonymised, unless longer retention is required by law.

Users are responsible for exporting information that the Platform allows them to download. BRBStox has no obligation to restore information after the applicable retention period.

18. Fair-Use Rules

“Unlimited” backtesting means no ordinary user-facing numerical cap for genuine personal use during an active subscription. It does not permit automated bulk extraction, bot-driven testing, excessive concurrent requests, commercial resale, systematic data harvesting, sharing access with multiple users or using the Platform as an unauthorised data feed. BRBStox may apply reasonable rate limits, concurrency limits, queueing, storage limits and abuse-prevention restrictions.

19. Market Data

Market data may include historical prices, delayed prices, tick data, options premiums, instrument details and market-breadth data. Market data may be delayed, incomplete, corrected, temporarily unavailable or subject to licensing restrictions. BRBStox does not guarantee that every stock, index, future, option, strike, expiry or historical date will be available.

Market price data used in Market Replay and the Trading Simulator is historical and is made available with a minimum delay of 30 days. These products do not represent the current or live market.

20. Market-Data Licence and Restrictions

BRBStox grants you a limited, personal, revocable, non-exclusive and non-transferable right to view available market data for your own educational, analytical and simulated-trading use. You must not resell, redistribute, scrape, systematically download or use Platform data to create an unauthorised commercial product or train an external machine-learning model without written permission.

21. Backtesting Limitations

Backtesting is a historical-analysis process, not a prediction or guarantee. Results may be affected by the selected period, data quality, strategy rules, slippage settings, liquidity, spreads, survivorship bias, look-ahead bias, overfitting and market-regime changes. A profitable backtest does not establish that a strategy will be profitable in the future. You are solely responsible for interpreting a backtest.

22. Market Replay Limitations

Market price data used in Market Replay is historical and is made available with a minimum delay of 30 days. Market Replay does not represent the current or live market.

Market Replay uses historical information and simulated order execution. It does not fully reproduce live order-book depth, every bid–ask spread, partial fills, broker delays, market impact, every charge or tax, or the emotional effect of risking real money. Repeatedly replaying a session after learning its outcome may introduce hindsight bias.

23. Trading Simulator Limitations

The Trading Simulator uses virtual capital and historical market data made available with a minimum delay of 30 days. Simulated orders may differ from live trading because of liquidity, spreads, order-book depth, partial fills, slippage, broker processes, margin changes, taxes, market impact and emotional pressure. Virtual profit does not represent real profit and does not mean you are ready to trade with real money.

24. Simulated Margin and Hedge Calculations

Margin figures displayed by BRBStox are estimates for simulation and educational use. Actual margin requirements may differ by broker, exchange, contract, portfolio composition, volatility, expiry and regulatory updates. You must independently verify current margin requirements before placing a real-money trade outside BRBStox.

25. Technical Indicators, Patterns and Screeners

Indicators, chart patterns, screeners and automated observations are analytical aids that may produce false signals or require independent interpretation. They are not investment advice, trade recommendations, buy-or-sell instructions or guarantees of market movement.

26. No Investment, Financial, Legal or Tax Advice

Nothing available through BRBStox constitutes personalised investment advice, financial planning, research advice, securities recommendations, legal advice, tax advice, a fiduciary service or a solicitation to buy or sell securities. BRBStox does not know your financial position, objectives, risk tolerance or personal circumstances. Obtain independent professional advice before making a real-money financial decision.

27. User Responsibility for Real-Market Decisions

Any decision to invest or trade with real money is made independently and outside BRBStox. Financial markets involve risk. Historical and simulated performance does not guarantee future results. Community opinions may be wrong. BRBStox is not responsible for a real trade placed outside the Platform and must not be used as the sole basis for a real-money decision.

28. Trader Community Standards

The Trader Community exists for market education, analysis and peer discussion. You may share market observations, post charts, ask questions, explain a trading hypothesis, discuss a backtest and share execution lessons. You must explain the reasoning behind a market view and must not direct other users to trade.

29. Prohibited Community Content

You must not issue buy-and-sell calls, provide personalised trade instructions, promise guaranteed returns, sell paid tips, promote paid signal groups, solicit investment funds, operate pump-and-dump schemes, publish false performance claims, impersonate a registered professional, request passwords or OTPs, harass others, publish private information, spam or manipulate community rankings. Market analysis is permitted; direct trading instructions are not.

30. User Content Ownership

You retain ownership of original User Content you create and submit. You are responsible for ensuring you have the necessary rights to upload or share it and that it does not violate another person's copyright, trademark or privacy, is not unlawful, misleading or malicious and complies with these Terms and Community Standards.

31. Licence to Operate the Platform

By submitting User Content, you grant BRBStox a non-exclusive, worldwide, royalty-free licence to host, store, reproduce technically, format, display, transmit, moderate and make available User Content as needed to operate, secure, moderate and improve the Platform.

32. Community Content After Account Closure

When an Account is closed, BRBStox may delete User Content, allow you to remove eligible Content before closure, remove identifying profile information, display retained discussion under a deleted-user label or retain Content necessary for moderation, fraud prevention or legal compliance.

33. Content Moderation

BRBStox may review, remove, restrict, warn about or disable User Content and may suspend or terminate an Account based on these Terms, Community Standards, user reports, automated detection, legal requests or Platform safety. BRBStox does not endorse User Content merely because it remains visible.

34. Reporting Content and Users

You may report Content or profiles using the available reporting tools or grievance contact. A report should identify the relevant Content or Account and the nature of the concern. False, malicious or repeated abusive reports may themselves violate these Terms.

35. Platform Conduct

You must not use BRBStox unlawfully, circumvent technical controls, attempt unauthorised access, introduce malicious code, use bots or scripts without permission, scrape Platform data, reverse-engineer software, use another person's Account, sell or sublicense access, resell reports or Platform services, or manipulate results, rankings, reputation or badges.

36. Intellectual Property

Except for User Content and third-party licensed material, BRBStox owns or licenses all rights in software, interfaces, designs, databases, reports, calculations, workflows, logos, trademarks, screeners, backtesting systems, simulation systems and proprietary arrangements of data. No right is transferred except the limited right to use the Platform under these Terms.

37. Feedback and Suggestions

Unless agreed otherwise in writing, feedback you voluntarily provide is not confidential, BRBStox may use it to improve services and no payment or ownership interest is created by providing feedback.

38. Third-Party Services

BRBStox may use or link to third-party services including Razorpay, banks, market-data providers, cloud-hosting providers, email or SMS providers and external websites. Third-party services are governed by their own terms and privacy policies.

39. Service Availability

BRBStox aims to provide a reliable Platform but does not guarantee continuous availability. The Platform may be interrupted because of maintenance, updates, data-provider outages, payment-provider problems, security incidents, legal requirements or events outside reasonable control.

40. Modifications to Features

BRBStox may add, remove, improve or modify features, including available instruments, data history, strategy lists, indicators, order types, trade limits, virtual-capital rules, screeners, reports and subscription inclusions. No feature description should be treated as a promise that the feature will remain unchanged indefinitely.

41. Promotional Offers

Discounts, coupons, referral programmes and special offers may be subject to separate conditions. Unless expressly stated, offers cannot be exchanged for cash, combined arbitrarily or used fraudulently. A completed purchase remains governed by the terms displayed at checkout.

42. Suspension and Restriction

BRBStox may suspend or restrict an Account when reasonably necessary because of a breach of these Terms, security concerns, fraud, payment disputes, harassment, community abuse, trial abuse, account sharing, automated extraction or a valid legal request. Immediate restriction may be applied where delay could cause harm or legal non-compliance.

43. Termination by BRBStox

BRBStox may terminate an Account for a serious or repeated breach. Termination may result in loss of Platform access, cancellation of future automatic renewals, loss of virtual capital, removal or anonymisation of User Content and preservation of necessary legal, payment, security or moderation records. Termination for user misconduct does not ordinarily create a refund entitlement.

44. Account Closure by the User

You may request Account closure through the available Account control or support channel. Account closure may result in cancellation of future automatic renewals, loss of access, loss of virtual capital, removal or anonymisation of profile information and loss of saved reports after applicable retention periods. Account closure does not normally create a refund for the remaining portion of a paid Subscription Period.

45. Effect of Account Deletion on Subscriptions

A verified Account-deletion request should cancel future BRBStox automatic renewals associated with that Account. However, a payment already processed may remain non-refundable, access may end when deletion is completed and statutory payment and accounting records may still be retained.

46. Disclaimer of Warranties

To the fullest extent permitted by law, BRBStox is provided on an “as is” and “as available” basis. BRBStox does not warrant uninterrupted operation, complete or error-free data, profitable strategies, simulator performance matching live performance or accuracy of user-posted Content. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

47. Limitation of Liability

To the fullest extent permitted by law, BRBStox will not be liable for indirect, incidental, special, punitive or consequential loss arising from use of the Platform, including real-money trading decisions, investment losses, data-provider errors, simulated fills, community Content or loss of saved data after the stated retention period. BRBStox's total aggregate liability arising from a paid product will not exceed the amount actually paid for the relevant product during the six months immediately preceding the event giving rise to the claim. For a claim relating solely to a free service, aggregate liability will not exceed ₹1,000.

48. Indemnity

To the extent permitted by law, you agree to indemnify BRBStox and BRB Plus AI Private Limited against third-party claims, losses, liabilities and reasonable legal costs resulting from your unlawful use of the Platform, material breach of these Terms, infringing User Content, fraud, unauthorised redistribution of Platform data or operation of paid tips through the Platform.

49. Force Majeure

BRBStox will not be responsible for delay or failure caused by events reasonably outside its control, including natural disasters, government action, exchange closure, telecommunications failure, cyberattack, cloud-provider outage, data-provider outage, payment-network disruption or legal restriction.

50. Electronic Communications

You agree to receive electronic communications relating to account registration, OTP verification, security alerts, trial status, subscription activation, automatic renewal, payment status, invoices, failed payments, data-retention dates, account restrictions, community moderation, policy updates and support requests through email, SMS, in-Platform notification or another contact method you provide.

51. Promotional Communications

Promotional communication is separate from essential Account communication. You may unsubscribe from promotional emails using the provided unsubscribe link or available Account settings. Opting out of marketing does not prevent BRBStox from sending security notices, billing notices, renewal notices, legal notices, support responses or essential service announcements.

52. Grievance Redressal

Questions or complaints may be submitted to support@brbstox.com or privacy@brbstox.com. A complaint should include your registered email address or mobile number, a clear description of the issue and any relevant Account, transaction or Content reference. BRBStox will aim to acknowledge a grievance within 24 hours and resolve it within 15 days, subject to applicable law.

53. Consumer Complaints

Nothing in these Terms prevents an eligible consumer from using remedies available under applicable consumer-protection law. Before initiating formal proceedings, you are encouraged to contact BRBStox so that we have a reasonable opportunity to investigate and resolve the issue.

54. Dispute Resolution

Before commencing arbitration or court proceedings, the complaining party should send a written dispute notice describing the nature of the dispute, relevant facts, supporting documents and requested resolution. The parties will attempt in good faith to resolve the dispute within 30 days of receiving the notice.

55. Arbitration

Except for consumer disputes that may be brought before a consumer commission, matters that cannot legally be arbitrated, or claims seeking urgent protection of intellectual property or Platform security, an unresolved dispute may be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration will be conducted by one arbitrator, use the English language and be subject to procedures agreed by the parties or directed by the arbitrator.

56. Governing Law and Court Jurisdiction

These Terms are governed by the laws of India. Subject to the consumer-rights and arbitration provisions above, courts with competent jurisdiction in India will have jurisdiction over disputes relating to these Terms. Nothing in this section removes jurisdiction granted to a consumer commission or another statutory authority under applicable law.

57. Changes to These Terms

BRBStox may update these Terms to reflect product changes, pricing or subscription changes, new features, legal requirements, security requirements or changes in service providers. The “Last updated” date will be revised. Material changes may be communicated through email, Account dashboard, in-Platform notice or another appropriate method. Where required by law, fresh acceptance or consent will be sought.

58. Translation

These Terms may be made available in languages other than English for convenience. Unless prohibited by law, the English version will control where there is an inconsistency between translations.

59. Assignment

You may not assign or transfer your Account, subscription or rights under these Terms without written permission from BRBStox. BRBStox may assign these Terms as part of a merger, corporate restructuring, acquisition, transfer of business or transfer to an affiliated entity.

60. Severability

When a provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary or removed. The remaining provisions will continue in effect.

61. No Waiver

A failure by BRBStox to enforce a provision immediately does not waive the right to enforce it later. A waiver is effective only when confirmed in writing by an authorised representative.

62. Entire Agreement

These Terms, the Privacy Policy, Community Standards, product-specific rules and accepted checkout terms constitute the entire agreement relating to your use of BRBStox. They replace prior discussions or representations concerning the same subject, except for a separate written agreement signed by an authorised representative.

63. Survival

Provisions relating to intellectual property, User Content responsibilities, market-data restrictions, payment obligations, refund provisions, data retention, disclaimers, limitation of liability, indemnity, dispute resolution, governing law and any provision intended by its nature to survive will survive Account closure or termination where applicable.
